Welcome to CampusNetwork, Inc's ("Carsplit") carsplit.com website (the "Site"). Use of the Site is contingent upon your acceptance of and compliance with these Terms of Use (TOU) and our Privacy Agreement. These Terms of Use constitute a valid and binding agreement between the Site and you. You ("you," "user," "member") agree to read, acquaint yourself fully and comply with all aspects of the TOU. If there are any aspects of these Terms of Use that you do not fully understand please contact us through our contact form at http://www.carsplit.com/contact. IF YOU DO NOT ACCEPT THESE TERMS OF USE, YOU MAY NOT USE THIS SERVICE AND YOU SHOULD EXIT THIS SITE IMMEDIATELY.

The following Terms of Use govern your use of the Site.

1. Acceptance of Terms of Use: By creating an account and clicking on the "I understand and agree to the Terms of Use" button you agree to be bound by these TOU in your access to and use of the Site.
2. Eligibility: The Site has several eligibility requirements which you must meet prior to using its services:
1. You must be 13 years of age or older to register as a member of the Site. By accepting these Terms of Use and registering and creating a profile on the Site, you represent and warrant that you are aged 13 or over.
2. You must and hereby do certify that you are a currently matriculated student of Columbia University or a currently matriculated student of Barnard College. All other individuals are strictly prohibited from using the Site or the services.
3. Email Login and Mobile Telephone Number: The Site does not provide separate or unique user passwords. All Site travel confirmations and cancellations shall be routed to the user provided email address. It is solely your responsibility to safeguard and maintain the security and confidentiality and security of your email address and email account. Any use of a member email account is the sole responsibility of the member including those instances where a party other than the member uses that account. You agree to notify Carsplit immediately if you become aware or suspect any unauthorized use of your email address in connection with the use of the Site, or any other breach of security in connection with the use of the Site. Although Carsplit provides your mobile telephone number to other members of your group, you are solely responsible for the security, use, and privacy of your telephone number at all times.
4. User Postings: You acknowledge and agree that by posting any content and materials, including but not limited to names, destinations, scheduling information, contact telephone numbers, and email addresses (the "Materials"), you are solely responsible for any consequences. By submitting or otherwise making available the Materials on or through the Site, you represent that you are the owner of the Materials, that you have complete unfettered rights to distribute, share or, otherwise make the Materials available and/or or are submitting the Materials with the express consent of the owner. In consideration of your use of the Site and service, you agree to: (1) provide true, accurate, current and complete information about yourself in providing the Materials; and (2) keep the Materials true, accurate, current and complete by maintaining and promptly updating them. If you provide any information that is untrue, inaccurate, not current or incomplete, or Carsplit has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Carsplit has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof).
5. Prohibited Content and Compliance With Law: You are solely responsible for any destination and travel information, contact information, telephone or any other information that you post on the Site or transmit to other users either directly or indirectly through the Site's automated email notifications. Users shall not post content or materials that generally contain advertising or any form of commercial solicitation. Users shall not falsely claim to be or represent any third parties including but not limited to Site personnel or another user.
   
   You acknowledge and agree that Carsplit reserves the right (but assumes no obligation) to delete, move, or edit any content or materials that come to their attention that they consider unacceptable or inappropriate, whether for legal or other reasons. Furthermore, you agree that Carsplit shall not be liable for any threatening, defamatory, obscene, offensive or illegal content or materials that you are exposed to when communicating with other users of the Site.
6. No Liability for Third Party Interaction: Carsplit cannot regulate what occurs when Site Members or Users decide to communicate outside the Site service or otherwise meet offline. Nevertheless, if Carsplit believes that your use of the Service could lead to offline behavior that is harmful to you, other users, the public, Carsplit's business or the business of any partner or third party provider, Carsplit maintains the right to suspend or terminate your account. Carsplit shall in no way be responsible whatsoever for any contact or interaction that occurs between any users the Site or between any members of a group. Any and all consequences of communications, contacts, in person meetings, or generally any other interactions that result from the Materials made available or otherwise exchanged through the Site, shall be the sole responsibility of the user or group member. Any and all consequences of the use of, communications with, contacts with, personal dealings with, or generally any other interactions with any taxi, limousine, or any other transportation provider shall be the sole responsibility of the user or group member.
   
   While Carsplit bears absolutely no responsibility for the conduct of any member of any group arranged through the Site, Carsplit recommends that group members conduct themselves according to the following guidelines, without committing itself to, or engaging in the enforcement or observance of these guidelines in any capacity or manner whatsoever:
1. If a member fails to arrive within ten minutes of his or her group's scheduled departure time, the remaining members may choose to leave without him or her.
2. Group members should pay a portion of the transportation fare equal to that fare divided by the total number of members in the group.
3. If any group consisting of three people shall lose a member for any reason whatsoever, the remaining members should accordingly share the transportation fare equally.
4. In the event the members of a group can not reach an agreement as to their share of the fare gratuity then the members should agree to calculate the gratuity as follows: the fare shall be multiplied by fifteen (15%) percent and divided according to each member's pro rata share of the fare.
5. Each member should bring no more than one suitcase and one item of carry on luggage.
7. No Implied Third Party Affiliation: Carsplit and the Site are in no way affiliated with or related to any other entity, individual, organization, group, or other association unless such entity, individual, organization, group, or other association is expressly designated a Carsplit partner or affiliate on the Site. Carsplit and the Site are in no way affiliated with or related to Columbia University and Barnard College. Carsplit and the Site are in no way affiliated with or related to any taxi, limousine, or any other transportation provider.
8. Disclaimer of Warranties and Limitation of Liability: CARSPLIT IS NOT RESPONSIBLE FOR ANY INACCURATE OR INCOMPLETE CONTENT POSTED ON THE SITE OR IN CONNECTION WITH THE CARSPLIT SERVICE WHETHER CAUSED BY USERS OF THE SITE OR ANY INTERNAL FUNCTIONING OF THE CARSPLIT SERVICE. CARSPLIT DOES NOT MAKE, AND EXPRESSLY DISCLAIMS, ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, IN REGARD TO ANY INFORMATION, PRODUCT, OR SERVICE FURNISHED BY IT UNDER THIS AGREEMENT, INCLUDING WITHOUT LIMITATION ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ALL SERVICES PROVIDED THROUGH THIS SITE ARE PROVIDED TO "AS IS," "WITH ALL FAULTS," AND ON AN "AS AVAILABLE" BASIS.
   
   ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THIS SITE IS AT YOUR OWN DISCRETION AND RISK. YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA RESULTING FROM DOWNLOADING SUCH MATERIAL AND/OR DATA.
   
   CARSPLIT EXPRESSLY DISCLAIMS ANY AND ALL INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES IN ANY EVENT EVEN IF ADVISED BEFOREHAND OF SUCH DAMAGES AND IN NO EVENT SHALL CARSPLIT BE LIABLE FOR SUCH DAMAGES RESULTING FROM THE ACTIONS OR CONDUCT OF ANY CARSPLIT MEMBER OR USER.
   
   TO THE GREATEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, CARSPLIT'S LIABILITY FOR ANY LOSS, CLAIM, DAMAGE OR LIABILITY OF ANY KIND INCLUDING THAT WHICH MAY BE DUE TO CARSPLIT'S ACTUAL OR ALLEGED NEGLIGENCE, SHALL NOT EXCEED THE AMOUNT A MEMBER OR USER PAID, IF ANY, FOR THE USE OF THIS SITE.
9. Indemnification: You agree to indemnify and hold Carsplit and its respective parents, subsidiaries, affiliates and agents, and each of their respective officers, directors, employees and third party providers harmless from and against any claim or demand, made by any third party due to or arising out of your use of the Site, your violation of these Terms of Use, or the infringement by you, or any other user of your account, of any intellectual property or other right of any person or entity, including but not limited to reasonable attorney's fees.
10. Termination of Membership: Carsplit reserves the right to refuse membership to anyone for any reason. Carsplit also may terminate your membership and any and all information, communications, or postings at any time, without notice, for conduct that violates these Terms of Use or for conduct that Carsplit believes is harmful to other members, the business of Carsplit and/or third-party information providers.
11. Links: You understand and agree that Carsplit has no control over any third party sites to which this Site links. Carsplit neither endorses nor bears any responsibility for or control over any linked site or any other link contained therein. Carsplit makes no representations or warranties including but not limited to the character, content, or quality of third party sites. Once you leave this Site, our Terms of Use and Privacy Agreement are no longer in effect; we encourage you to read the terms of use of each and every Site which you visit.
12. Intellectual Property Rights: Any and all materials Carsplit furnishes through the Site are the sole property of Carsplit and are protected to the fullest extent possible by copyright, trademark and other intellectual property laws. Users may use such materials while using the Site as provided herein but are strictly prohibited from copying, reproducing, retransmitting, distributing, publishing, commercially exploiting, or otherwise transferring any such materials in any format or medium whatsoever. Your access to content posted by other member or user is for your personal use only.
13. Terms of Use Modifications: Carsplit hereby reserves the right to modify these Terms of Use from time to time in its sole discretion. Reasonable notice shall be provided to users and continued use of the Site by users is deemed an acceptance and ratification of any changes made to these TOU.
14. Modifications to the Site/Termination of Service: Carsplit may in its sole discretion and without notice add, delete, modify or amend features and/or services contained within the Site. Furthermore, Carsplit may in its sole discretion and without notice discontinue temporarily or permanently providing the service or any part thereof. You agree that Carsplit will not be liable to you or any third party for any termination or suspension of access to the Service or modification of the Service.
15. Choice of Law: This agreement shall be governed by the laws of the State of New York in The United States of America, excluding that body of law known as conflicts of law and the United Nations Convention on Contracts for the Sale of Goods.
16. Severability: If any provision of this Agreement or the application thereof to any Person or circumstance shall be invalid or unenforceable to any extent, the remainder of this Agreement and the application of such provisions to other persons or circumstances shall not be affected thereby and shall be enforced to the greatest extent permitted by law.
17. Entire Agreement: It is hereby acknowledged that this Agreement constitutes the entire agreement between the parties pertaining to the subject matter hereof, and supersedes in their entirety any and all written or oral agreements previously existing between the parties with respect to such subject matter.
